By purchasing from Bumpers.com you hereby state that you are not associated nor have any connections in any manner with any Authorized OEM Dealerships, Franchise and/or Authorized OEM Agents. Any Authorized OEM Dealers, Franchise and/or Authorized OEM Agents that attempt to purchase from Bumpers.com that do not have the express written permission of the OEM Manufacturer and/or OEM Supplier; will be deemed as fraud and shall have the same fines attached as falsifying information. Should you purchase from Bumpers.com or present false information to have access to an account, you hereby waive any and all defenses you may and/or will have. You also hereby agree that you shall be fined Ten Thousand ($10,000.00) Dollars for each and every occurrence and/or visit to Bumpers.com. Any attempt and/or successful purchase of any product via Bumpers.com for the direct and/or indirect purpose of conspiring to give/sell/donate to any Authorized OEM Dealership, Franchise and/or Authorized OEM Agent shall be deemed as fraud and shall carry the same fines associate with presenting false information.

DISCLOSURE

Automotive Manufacturer Collision Repair Statements sets forth the following: OEM Manufacturers explicitly state that: imitation, salvage and/or non "OEM New" quality parts used in repair or replacement of a vehicle will not be warranted. All parts represented at Bumpers.com ARE NOT Manufacturers "OEM New" Quality Standards because they are NOT new or meet first quality standards set forth by the OEM manufacturers and therefore will not be covered under any of the OEM Manufacturers warranties because they are salvaged parts. Use of these salvaged (see definition below), Recycled Original Equipment (ROE) parts is "negating (the manufacturer) warranties, as a result of using Recycled Original Equipment (ROE) Parts, and the resale of the parts themselves".

Any copying of any content, images or webpage/website information without the express written permission of Bumpers.com for the purpose of publication/distribution and/or presentation is a copyright violation and the party distributing/publicizing and/or presenting said information shall be fined One Hundred Thousand ($100,000.00) Dollars for each page and/or person and/or entity shown to.

You promise, warrant and agree that, while using the Bumpers.com and/or web sites, you will not post, upload or transmit to or distribute or otherwise publish through said web sites any materials which:

  1. are unlawful, threatening, harassing or profane material to other Purchasers or Bumpers.com
  2. prevent, restrict or inhibit any other Purchaser from using the site,
  3. encourage, participate in and/or entice conduct of others that will constitute a criminal behavior or offense or that gives rise to civil liability, or
  4. help in the installation or planting of a virus or other harmful component, advertising of any kind, or false or misleading information from origins or statements of fact that are known to be false and/or not properly verified.

You also promise, warrant and agree that you will not post, install or transmit:

  1. Any type of bulk e-mails, advertisements, solicitations, offers for sale of services or goods, pyramid schemes, chain letters, or any other unsolicited commercial communication or engage in spamming, hacking, tampering, spoofing, eavesdropping, fraud, illegal activity, breaking passwords, "impostering", forgery, system infiltration and contamination, electronic trespassing and harassment including without limitation worms, Trojan horses and viruses.
  2. Impersonate or misrepresent your person, company or affiliation with any other person or entity using Bumpers.com
  3. Upload, post, publish, transmit, reproduce, distribute or in any way exploit any information or other material obtained through the Site for personal or commercial purposes; or
  4. Attempt to gain unauthorized access to other computer systems through these web sites.

It is the sole responsibility of the Buyer (Purchaser and/or Customers) in researching and determining such restricted technology from leaving the United States. Bumpers.com,   expects all its Buyers (Purchasers and/or Customers) visiting its sites to fully comply with all Local, State, and U.S. State Department laws and Bumpers.com,   will not be liable or liable for your noncompliance. Any clients/purchasers/customers in the European Union hereby unilaterally consent to the processing of their personal information in the United States.

ecommerce Purchase Agreement

The Bumpers.com web site is supplied to you ("Buyer", "Purchaser" or "Customer") subject to the Terms and Conditions of Sale based on this ecommerce Purchase Agreement ("ecommerce Purchase Agreement" and/or "Terms and Conditions") policies and or any operating rules that are posted from time to time by Bumpers.com,   Prior to participating, using and/or conducting business with Bumpers.com,   you are required to read and accept the following Terms and Conditions. Using this web site constitutes acceptance of the ecommerce Purchase Agreement.

Bumpers.com,   will from time to time at its sole discretion, change, modify, add, and/or remove any part of this ecommerce Purchase Agreement, in whole or in part, at any time and without you, by simply posting said changes in Bumpers.com web sites. It is your (Buyer/Purchaser/Customer) sole responsibility to periodically review the ecommerce Purchase Agreement to be informed of any changes, adjustments and/or modifications. Your (Buyer/Purchaser/Customer) continued use of Bumpers.com after we have posted any changes is deemed to be acceptance by you.

Terms and Conditions of Sale

1. SALES, PAYMENT, TAXES and PRICING. You ("Purchaser") hereby agree to pay the unit price of each item of equipment, product, good and/or unit items(s) and all its applicable sales taxes purchased via Bumpers.com and ("Seller(s)") as set forth in this ecommerce Purchase Agreement. At the Seller's discretion, the transaction may be conducted in a tax-free area.
2. SHIPPING AND INSTALLATION FEES. Bumpers.com,   is not responsible for any and all site preparations, picks or disassembly of any equipment, product, good and/or unit items(s). Purchaser accepts that he/she/it is solely responsible for any and all expenses relating to shipping, handling, insurance expenses incurred by Seller.
3. RISK OF LOSS; TITLE; SECURITY INTEREST; REMEDIES OF DEFAULT. Risk of Loss shall pass to Purchaser upon delivery of common carrier or Purchaser's delivery agent. Title and ownership of each item of equipment, product, good and/or unit sold pursuant through Bumpers.com services shall remain with Sellers until such time payment is made in full, including any and all additional charges provided herein. Purchaser hereby expressly agrees to keep in full force, fire, theft, transportation, and accident insurance for the benefit of both parties until delivery to the intended place of delivery of Purchaser.

Seller reserves, and Purchaser grants to the Seller, a purchase money security interest (PMSI) in the equipment sold hereunder as security interest until such time Purchaser has completed of its obligations under the ecommerce Purchase Agreement. The Seller may file PMSI in accordance with the Uniform Commercial Code in lieu of a financing statement.
If the Purchaser fails to perform any of it obligations pursuant to the terms and conditions set forth herein or defaults in payment of any charges due to Seller hereunder, Seller may at its option, do the following:

a. Terminate the ecommerce Purchase Agreement upon either verbal or written notice to Purchaser;
b. If ecommerce Purchase Agreement is terminated or not, Seller may take possession of any and all equipment, products, goods and/or units listed in the ecommerce Purchase Agreement, or in any attachment hereto, wherever situated, and for such purpose, enter upon any premises to take possession of any and all equipment, products, goods and/or units listed without any liability for doing so;
c. Retain all or a portion of the security deposit, if any had been paid by the Purchaser, as an offset to Purchaser's liability for such default. Repossession of the equipment, product, good and/or unit, if at Seller's discretion, shall not be deemed a waiver of Seller's right to damage it may sustain as a result of Purchaser's default and Seller shall have the right to enforce any other legal remedy as provided by law. Purchaser shall in any event remain fully liable for damages resulting from breach including, but not limited to, all costs and expenses incurred by Seller on account of such breach including court costs and all attorneys' fees. The rights afforded Seller hereunder shall not be deemed exclusive, but shall be in addition to any rights or remedies provided by law.

DEFINITIONS
Salvage or Salvaged Property saved from destruction; something extracted (as from rubbish) as valuable or useful. Under this definition as well as industry nomenclature, terminology and semantics the following terms are synonymous with the word salvaged and mean the same, they include, but are not limited to: "reworked", "blemished", "core(s)", "NON Q1", "NON-OEM NEW", "reclaimed", "repaired", "remanufactured", "recycled", "used", "Buy-Backs", "Recycled Original Equipment (ROE)", "resale", "rebuilt", "recovered", "not new or first quality", "seconds", "over runs", "factory blemished","fallouts", "retrieved", "redeemed", "rescued", "regained", "gleaned", "repossessed", "recouped", "reconstructed", "recaptured", "reacquired", "renewed", "recalled", "reintroduced", "factory overruns", "excess production", "recycled oem stock" ("dismantled", "fire", "flood", "junk parts", "imperfect parts", "quality renewal", "verified quality", "quality verified"), "harvested parts", "diverted parts", "never used parts", "OEM surplus", etc.
Blemish or Blemished - Aesthetically imperfect and/or fails quality tests and/or Manufacturers standards but may or may not be reworked to Manufacturers standards.
LIMITED WARRANTIES; DISCLAIMERS and DISCLOSURES. Seller warrants that all the equipment, product, goods and/or units purchased from Seller are in "As IS" condition (no warranty from OEM and Bumpers.com,  . Items sold from the Bumpers.com are OEM (Original Equipment Manufacturer) and OE (Original Equipment) salvaged parts NOT dealer quality parts or "New"(first quality) and are also sold "AS IS" and "with all faults". Salvaged Parts and other nomenclature (See Definition) related to the Automotive Aftermarket shall be the same and constant as terms used in that industry. In the event the equipment is not in working condition and at the Seller's sole discretion, the equipment, product, good and/or unit may be returned for replacement, for possible refund according to the terms of the RETURNS section of this agreement. Purchaser understands that Seller is not the manufacturer of the equipment, product, good and/or unit, and accordingly, expressly waives any claim against the Seller based on any limitation, infringement, alleged limitation or alleged infringement of any patent with respect to any equipment, products, goods and/or units or for any indemnity against such patent claim made by a Third Party or Purchaser. Purchaser understands that these items are not covered under any Original Equipment Manufacturer (OEM) warranties and are not acceptable under no circumstances, to be used in warranty/esp. repair work, or eligible for PIPP/POPP credit or return.
CAVEAT EMPTOR
THESE EXPRESS WARRANTIES CONTAINED HEREIN ARE IN LIEU OF ANY AND ALL OTHER WARRANTIES, EXPRESSED OR IMPLIED, INCLUDING THE WARRANTY OF MERCHANTABILITY AND OF FITNESS FOR A PARTICULAR PURPOSE. BUYER ACCEPTS AND ACKNOWLEDGES THAT THEY ARE NOT RELYING ON THE SELLER' KNOWLEDGE, SKILLS OR JUDGMENT TO SELECT OR SUPPLY ANY SPECIFIC PRODUCT, GOOD AND/OR UNIT FOR ANY PARTICULAR PURPOSE AND THAT ALL WARRANTIES ARE CONTAINED SOLELY IN THIS ECOMMERCE PURCHASE AGREEMENT, NO OTHER SUCH WARRANTIES SHALL EXIST OUTSIDE THIS ECOMMERCE PURCHASE AGREEMENT. SELLER SHALL NOT BE LIABLE FOR DAMAGES, INCLUDING SPECIAL AND INCIDENTAL OR CONSEQUENTIAL DAMAGES, ARISING OUT OF OR IN CONNECTION WITH PERFORMANCE OF THE EQUIPMENT, PRODUCT, GOOD AND/OR UNIT OR ITS USE BY THE PURCHASER.
e. RETURNS. At the sole discretion of the Seller, Equipment, product, good and/or unit items that Seller agrees to return will be assessed a 20% restocking fee, plus all shipping and handling charges and the difference will be deducted from the original sales price and the balance may be returned.
f. FORCE MAJEURE. Seller shall not be liable for any failure or delay in furnishing the equipment, product, good and/or unit items resulting from explosion, acts of God, government acts, orders or regulations, fire, strikes, flood, difficulty in obtaining parts, shipping facilities, shipping, delay of carriers, storm, machinery breakdown, war, weather, civil disturbance, hostilities or any action outside the scope of control of the Seller.
g. JURISDICTION; VENUE. Both the Seller and the Purchaser hereby consent to jurisdiction in the 3rd Circuit court in the County of Wayne for the State of Michigan only, for the purpose of resolving all issues of law, equity, or fact arising out of or in connection the Sales Agreement, purchase or any other matter related directly or indirectly; or any other instrument or document executed or delivered in connection therewith or with supplementation or amendment thereof, and that venue for the purpose of all such suits shall be in the County of Wayne, State of Michigan only.
h. MISCELLANEOUS
1. The ecommerce Purchase Agreement, and the terms and conditions set forth herein constitutes the entire agreement between the Seller and the Purchaser with respect to the purchase of any equipment, product, good and/or unit items through the Seller and this supersedes all prior communications and or correspondence between the parties (including but limited to any purchase orders, electronic inquiries facsimiles, letters, phone calls by the Purchaser to the Seller). No provision of the ecommerce Purchase Agreement or the terms and conditions set forth shall be deemed waived, amended, changed, omitted or modified only by the Seller.
2. Neither the ecommerce Purchase Agreement, nor any approval or consent provided herein shall be binding upon the Seller unless signed by a duly authorized officer. The ecommerce Purchase Agreement shall be deemed to been made in the State of Michigan and shall be governed by the laws of the State of Michigan.
3. Any ambiguities, misprints, errors or omissions in this ecommerce Purchase Agreement and/or other documents for Bumpers.com shall be to the benefit of the Seller and not to Purchaser.
4. All notices herein shall be in writing and shall be delivered in person or sent by registered or certified mail, postage prepaid, to the address of the other party as set forth on the contact web site, or to such other address as such the party shall have designated by proper notice.
5. The invalidity or unenforceability of any particular provision of this Agreement shall not affect the other provisions hereof, and this Agreement shall be construed as if such invalid or unenforceable provisions were omitted.
